Key Responsibilities
As Senior Associate/Counsel, the successful candidate will play a critical role in supporting Japanese and multinational clients, focusing on their operations and investments in the U.S. This includes:
- Leading M&A Transactions: Handling all phases of mergers, acquisitions, and divestitures, including due diligence, drafting and negotiating transaction agreements, and closing deals.
- General Corporate Counsel: Providing comprehensive advice on U.S. corporate law, governance, commercial contracts, and strategic business initiatives for Japanese subsidiaries and U.S. clients.
- Compliance and Risk Management: Advising clients on U.S. regulatory compliance, labor/employment matters, and internal investigations.
- Cross-Cultural Coordination: Serving as a key legal liaison between the Texas office, our Japanese headquarters, and Japanese clients, ensuring clear and consistent communication.
Required Qualifications
- J.D. degree from an accredited U.S. law school.
- Active bar admission in Texas is strongly preferred.
- Minimum of 5 years of post-J.D. experience practicing corporate law, M&A, and commercial transactions at a respected law firm or in-house legal department.
- Demonstrated experience handling complex transactions and independently managing corporate matters.
- Strong interest in working with Japanese clients and understanding the dynamics of cross-border legal work.
Preferred Qualifications
- Experience advising foreign or multinational companies, particularly those from Japan.
- Proficiency in Japanese (verbal and written) is a significant plus, but not mandatory.
